LISCR, LLC acts as the agent of the Government of the Republic of Liberia in the administration of the Liberian International Ship and Corporate Registry. For actions taken within the scope of its authority, it enjoys the same immunity from suit as is enjoyed by the sovereign Government. It provides supervisory and regulatory services, collects fees and taxes and generally administers the Registry in accordance with statutory requirements. The LISCR Trust Company as the statutory registered agent of every non-resident entity registered in the Liberian Corporate Registry, provides the services required of it by the relevant legislation. Notwithstanding that all fees, charges and taxes which may be paid by credit card are due in advance of the provision of the service, as receipt of the service is frequently time-sensitive, the Registry generally provides services, etc. in advance of payment, but reserves the right to require payment in advance of the provision of the service to the extent that this is envisaged by the relevant legislation.
In order to ensure that non-resident business entities remain active and in Goodstanding, the Liberian Corporate Registry, acting on behalf of the Registrar of Corporations and The LISCR Trust Company as Registered Agent, wish to make you aware of the following:
- Your firm will be the Address of Record (“AOR” or Billing Address) for entities Incorporated/Registered at your request. At no time will the Registry or the LISCR Trust Company have communication directly with the beneficial owners or shareholders of these entities.
- The AOR agrees that it will not seek to form any entity or make any filing with the Registrar of Corporations if the AOR has any reason to believe, after making a reasonable inquiry, that the entities for which it is responsible are intended to be used for any unlawful purpose or any immoral transaction, including, but not limited to, fraud, embezzlement, extortion, dealing in prohibited substances, terrorism or money laundering. If the AOR learns that an entity for which it is responsible, or an owner of one of the entities for which it is responsible, is involved in any such illegal activities or transactions, the AOR agrees that to the extent the AOR is permitted under applicable laws and rules (including rules involving attorney-client confidences), the AOR shall immediately inform The LISCR Trust Company and withdraw from the provision of any services to the such owner or on behalf of such entity.
- The AOR agrees that it and its representatives will not provide any instructions or orders to The LISCR Trust Company that it has any reason to believe, after making reasonable inquiry, involve any unlawful act, contain any falsehood or are inaccurate. To the extent the AOR is permitted under applicable laws and rules (including rules involving attorney-client confidences), the AOR will inform the Trust Company of any changes in such information and provide corrections to any false or inaccurate information previously provided.
- The AOR agrees to maintain records of its “know your client” information, and of the inquiries made pursuant to these terms.
- The AOR is responsible for advising the Trust Company of any change of Billing Address for any entity for which it is the current AOR and will remain the AOR until such time as another Billing Address is provided.
- The AOR agrees to submit to the responsible party all invoices levied by The LISCR Trust Company for fees due to maintain a corporation in Good Standing.
- The AOR agrees to pay all invoices and fees due to The LISCR Trust Company for which the AOR is directly billed (third party requests).
- Liberian Corporations must maintain books of account, minutes and records of shareholders in accordance with Section 8.1 of the Associations Law.
- Failure of an entity to maintain a Registered Agent will result in Annulment (involuntary dissolution) by the Registrar.
- The AOR recognizes that LISCR, LLC (Acting on behalf of the Registrar and Registered Agent) is a US company, and is required to comply with all applicable laws and regulations of the United States, and any other jurisdiction in which LISCR, LLC is operating.
- The AOR agrees that prior to serving as AOR for an entity, the AOR shall carry out reasonable inquiries to ensure that the entity is not owned or controlled by parties subject to trade sanctions imposed by the United States, the European Union, or any other national government or supranational body (including but not limited to Specially Designated Nationals listed by the U.S. Treasury Office of Foreign Assets Control). If the AOR determines that an entity for which it is responsible is subject to trade sanctions, it shall, subject to applicable laws and rules (including rules involving attorney-client confidences), immediately inform The LISCR Trust Company and suspend provision of services to or on behalf of that entity.
